1. Introduction
Welcome to Packet Africa ("Service") operated by Packet Digital Solutions Limited(trading as Packet Africa), a technology company duly registered with the Corporate Affairs Commission (CAC) of the Federal Republic of Nigeria.
Packet Digital Solutions Limited develops and provides software solutions that enable creators and educators to accept payments from students and fans online. We are not a bank, financial institution, payment processor, or money transmitter.We do not hold, receive, or process customer funds. All payment processing, settlement, wallet management, and fund movement is carried out exclusively by our licensed third-party banking and payment partners, including but not limited to Monnify (a product of Moniepoint Inc.).
These Terms and Conditions govern your access to and use of the Service. Our Privacy Policy also applies. By using the Service you agree to be bound by both.
Our Privacy Policy (available at https://www.packetafrica.com/privacy) also governs your use of our Service and explains how we collect, safeguard, and disclose information. Your agreement with us includes these Terms and our Privacy Policy (collectively, the "Agreements"). You acknowledge that you have read and understood the Agreements and agree to be bound by them.
If you do not agree with (or cannot comply with) these Terms, you may not access or use the Service. Please contact us at supportteam@packetafrica.com if you have any questions or concerns. These Terms apply to all visitors, users, merchants, creators, educators, payers, attendees, voters, and others who access or use our Service.

2. Agreement to Terms
By accessing our Service, you agree that you have read, understood, and agree to be bound by these Terms. You represent that you are of legal age to form a binding contract (at least 18 years old or the age of majority in your jurisdiction) and that you have the authority to enter into these Terms personally or on behalf of the entity you represent. If you are accessing the Service on behalf of an entity, you bind that entity to these Terms.
The Service is not intended for distribution or use in any jurisdiction where such use would violate local laws or subject us to registration requirements. You are responsible for compliance with applicable laws in your location.
3. Modifications to the Terms
We reserve the right to modify these Terms at any time to reflect changes in our Service, user needs, business priorities, or legal requirements. We will provide reasonable notice of material changes by posting the updated Terms on our website and, where appropriate, notifying you via email or through the Service. Changes become effective on the date specified in the notice.
Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, your sole remedy is to discontinue using the Service and terminate your account. Modifications do not create a renewed opportunity to opt out of existing obligations.
4. Eligibility and Access to Our Service
Our Service may only be used by individuals or entities capable of forming legally binding contracts under applicable law. The Service is not available to minors (under 18 years old) unless supervised by a parent or guardian who agrees to these Terms.
To access certain features, such as creating payment links, storefronts, or receiving payouts, you must create an account and complete our Know Your Customer (KYC) verification process. You must provide accurate, current, and complete information, including identity and business verification documents. We reserve the right to approve or reject your KYC at our sole discretion.
If we refuse or revoke KYC approval, we may:
- Prohibit fund withdrawals;
- Suspend or terminate your account;
- Refund payments to payers; or
- Take other actions required by law or these Terms.
Packet Digital Solutions Limited is a software technology company. We are not a financial institution, bank, or payment processor. All payment processing, fund settlement, and wallet services are performed exclusively by our licensed third-party partners (including but not limited to Monnify, a product of Moniepoint Inc.). Your payment relationship is with those licensed partners.
If you fail to complete KYC or meet applicable requirements, we or our partners may issue refunds or deny access to funds. We are not liable for losses resulting from your non-compliance.
5. Account Registration and Security
To use the Service, you must register an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials (for example, username, password, API keys). You agree to notify us immediately of any unauthorized access to or use of your account.
We reserve the right to refuse registration or terminate accounts for any reason, including violations of these Terms. Multilevel managers (as defined in our dashboard) may have additional access controls and responsibilities, including oversight of sub-accounts and teams.
6. Communications
By creating an account, you explicitly consent to receive marketing and promotional emails from Packet Africa, including referral program updates, growth tips, feature announcements, and partnership opportunities.
You may unsubscribe from marketing emails at any time using the unsubscribe link in those emails. However, you will continue to receive transactional and account-related communications (such as payment confirmations, security alerts, and important service announcements).
7. Purchases and Payments
Transactions processed through Packet Africa are subject to a standard processing fee starting at 4% of the transaction amount. When automatic payouts (default 24-hour settlement) are enabled, an additional ₦10 per transaction is applied. For specific services like Voting Links, Event Tickets, and Storefront orders, the standard fee is 5% per transaction.
Merchants may choose to bear transaction fees themselves or pass them to the customer. Certain premium features, products, or services may carry different fee structures.
We reserve the right to modify our pricing and fee structure at any time with reasonable notice via email, in-app notification, or updates on our website. Updated pricing will apply only to new transactions after the effective date.
Fraud Prevention and Transaction Review
We reserve the absolute right, at our sole discretion and without liability, to review, verify, delay, hold, suspend, cancel, or reverse any transaction, payout, or voting activity that we reasonably suspect to be fraudulent, falsified, suspicious, in violation of these Terms, or that may expose the platform, our partners, or users to legal, regulatory, or reputational risk.
In such cases we may:
- Hold or freeze associated funds for investigation;
- Request additional verification or documentation from you or the payer;
- Issue refunds to payers;
- Report the activity to law enforcement, the Central Bank of Nigeria, or any other relevant regulatory authority;
- Take any other protective measures we deem necessary.
You agree to fully cooperate with any investigation and indemnify us against any claims, losses, or liabilities arising from such actions.
8. Product-Specific Terms
All tools, features, and services offered on Packet Africa (including but not limited to payment collection tools, storefronts, voting systems, invoicing, donation pages, event ticketing, and any future products) are governed by these Terms.
You are responsible for using each tool lawfully, providing accurate information, and honoring your commitments to customers, attendees, and other end users. We may add, modify, or discontinue any product or feature at our discretion.
Voting Links – Additional Anti-Fraud Rules
Voting Links have been associated with elevated risk of fraud. The following additional rules apply:
- Organizers and contestants must ensure all votes are legitimate and comply with applicable laws;
- Fake votes, bots, multiple accounts, vote buying, or any form of manipulation by voters, contestants, or organizers is strictly prohibited;
- We may at any time audit, invalidate suspicious votes, suspend or terminate a voting campaign, withhold funds, or close accounts involved in suspected fraud without prior notice or liability;
- Organizers agree to indemnify and hold Packet Digital Solutions Limited and Packet Africa harmless from any claims, losses, or damages arising from fraudulent voting activities on their campaigns.
9. Refunds and Reversals
Refunds are generally at the merchant's discretion, subject to our platform policies and applicable law. We may process or facilitate refunds in cases of suspected fraud, disputes, chargebacks, or non-compliance with these Terms.
Payout reversals may occur in the event of errors, disputes, or regulatory requirements. You agree to indemnify us for losses related to chargebacks, disputes, and refund-related obligations arising from your use of the Service.
10. Code of Conduct and Prohibited Activities
You agree to use the Service responsibly and in compliance with all applicable laws and regulations. Prohibited activities include, but are not limited to:
- Illegal actions (for example, fraud, money laundering, terrorist financing, or violating export and sanctions laws);
- Spamming, impersonation, or harassment of any kind;
- Uploading viruses, malware, or other harmful code;
- Data mining, scraping, or unauthorized collection of information from the Service;
- Selling prohibited items (for example, illegal weapons, controlled substances, or other restricted goods and services);
- Infringing, misappropriating, or violating intellectual property or other proprietary rights;
- Exploiting or harming children or vulnerable individuals in any way.
We have zero tolerance for fraud, abuse, or illegal activity. We may suspend or terminate your account, freeze or reverse funds, and report suspicious activity to relevant authorities.
11. User Generated Contributions
You may contribute content to the Service, such as product descriptions, event descriptions, pricing information, media assets, reviews, and other materials (collectively, "Contributions").
You retain ownership of your Contributions but grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Contributions in connection with operating, improving, and promoting the Service.
You are solely responsible for your Contributions and represent that they do not violate any law, rights of third parties, or these Terms.
12. Intellectual Property Rights
The Service and its content (excluding your Contributions) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for lawful purposes and in accordance with these Terms.
You must not copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, or create derivative works, except as expressly permitted by law.
13. Third-Party Websites and Services
The Service may contain links to third-party websites, services, or resources, including payment processors such as Monnify. These third-party sites are not under our control, and we are not responsible for their content, policies, or practices.
Your use of third-party services is subject to the terms and privacy policies of those providers. We encourage you to review their agreements carefully.
14. Site Management
We reserve the right, but not the obligation, to monitor the Service for violations of these Terms, take appropriate legal action against anyone who violates the law or these Terms, and manage the Service in a manner designed to protect our rights and the rights of users.
We may, without notice, remove or disable access to content, investigate suspicious activity, and suspend or terminate accounts that pose a risk to the integrity or security of the Service.
15. Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and share your personal data. By using the Service, you agree to our data practices as described in the Privacy Policy.

16. Copyright Infringements
If you believe that any content on the Service infringes your copyright or other intellectual property rights, please notify us at supportteam@packetafrica.com with sufficient detail to identify the allegedly infringing material. We will review and respond in accordance with applicable law, including any relevant DMCA-equivalent processes in Nigeria.
17. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We are not responsible for fraudulent or unauthorized transactions, although we may, at our discretion, assist with investigations.
18. Limitations of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, arising from or related to your use of (or inability to use) the Service.
Our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not responsible for third-party issues, disputes between users, or losses caused by your non-compliance with these Terms.
19. Indemnification
You agree to defend, indemnify, and hold harmless Packet Africa, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any rights of another party.
20. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including where we reasonably believe you have violated these Terms or applicable law.
Upon termination, your right to use the Service will immediately cease. Provisions that, by their nature, should survive termination (including disclaimers, limitations of liability, and indemnification) will continue in full force and effect.
If you wish to terminate your relationship with us, you may simply stop using the Service and contact us at supportteam@packetafrica.com to request account closure.
21. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
22. Dispute Resolution
Informal Resolution
Before initiating formal legal action, you agree to first contact us at supportteam@packetafrica.com and attempt to resolve the dispute informally.
Arbitration
If a dispute cannot be resolved informally, it will be settled by binding arbitration under the rules of the Lagos Court of Arbitration (or an equivalent arbitration body in Nigeria). Arbitration will be conducted on an individual basis only; class actions and class arbitrations are not permitted. The arbitrator's decision will be final and binding.
You waive any right to participate in a class action or other representative proceeding against us. If this class action waiver is found unenforceable, then the relevant claims must be brought in a court of competent jurisdiction in Lagos, Nigeria, rather than in arbitration.
23. Electronic Communications
By using the Service, you consent to receiving communications from us electronically, including emails, in-app notifications, and messages posted on the platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
24. Miscellaneous
These Terms constitute the entire agreement between you and Packet Africa regarding your use of the Service and supersede any prior or contemporaneous agreements, communications, and proposals (whether oral or written).
No waiver of any provision of these Terms is effective unless in writing and signed by us. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
